Korriko Ambassador Program Terms & Conditions
Please read this agreement carefully before registering as an affiliate. By signing up for the Korriko Pet Supply Ambassador Program (the "Affiliate Program"), you (the "Affiliate") indicate your acceptance of this agreement, and willingness to abide by its terms and conditions.
Affiliate Agreement Terms & Conditions
As an affiliate, we expect you to follow FTC guidelines, have integrity when dealing with clients, and comply with all laws.
ELIGIBILITY
Affiliate must be 18 years or older to participate. Crystal Communications Inc. DBA Korriko Pet Supply (“Korriko Pet Supply”) reserves the unconditional right to accept or deny any Affiliate.
Affiliate must be in good standing with the Federal Trade Commission (the “FTC”) and in compliance with all FTC guidelines and the terms and conditions of this Agreement.
Affiliate agrees and understands that if its marketing, websites, emails, or any other communications associated with or for this Promotion are considered inappropriate that Affiliate will be deemed, at the sole discretion of Korriko Pet Supply, ineligible to participate in the affiliate program and disqualified from receiving any recognition, commissions, rewards, or any other compensation or further communication.
Affiliate will be immediately removed from the Affiliate Program and will be in violation of this Agreement if, at the sole discretion of Korriko Pet Supply, its marketing:
- a) contains, promotes, or links to sexually explicit or violent material;
- b) promotes, depicts, or links to material that promotes or depicts discrimination based on race, gender, religion, national origin, physical or mental disability, sexual orientation, or age;
- c) contains unlawful material, including but not limited to materials that may violate another’s intellectual property rights, or links to a site that contains such material;
- d) contains information regarding, promotes, or links to a site that provides information or promotes illegal activity;
- e) uses Korriko Pet Supply's videos, images, banners, likeness, or brand name in or on their websites, thus creating a market and consumer confusion, except where explicitly provided. The consumer must be clear that they are opting into the Affiliate's communications and not to communications from Korriko Pet Supply;
- f) offers a cash incentive or discount on product(s) as a means of promotion, except where explicitly specified;
- g) runs any paid ad on Facebook or other social media outlets;
- h) runs any paid ads with any branded terms from Korriko Pet Supply, and/or any of the URLs we own;
- i) creates or is directly associated with fraudulent orders
- j) uses affiliate code on any coupon sites
- k) uses affiliate code on a “free samples” type website
- l) otherwise engages in practices that are deemed by Korriko Pet Supply to be unsuitable. Promoter reserves the right to disqualify Affiliates from our Affiliate program, cancel pending commissions based on inappropriate behavior or marketing by the Affiliate, and to amend this Agreement at any time without notification to Affiliate.
SPAM AND UNSOLICITED EMAIL
Affiliate agrees NOT to send any unsolicited email to any party. If Affiliate is caught spamming, they will be removed from the Affiliate Program, and their commissions or pending commissions will be canceled and/or forfeited. Spam is defined as emailing or posting to anyone who has not requested information via email or any website and also includes “spamming search engines” with links. Affiliate agrees to abide by all Federal Trade Commission Guidelines and the U.S. Federal Can-SPAM Act.
SERVICES
The Ambassador Program, the Affiliate agrees to provide to Korriko Pet Supply under the terms and conditions of this Agreement, services in connection with Korriko Pet Supply Ambassador Program. As part of the Services, the Affiliate will generate and post content (including, without limitation, text, videos and images) regarding the Korriko Pet Supply brand and Korriko Pet Supply products on the Affiliate’s dedicated Web page and on the Affiliate’s Instagram, Instagram Story, Twitter, Facebook, blog and potentially YouTube and Pinterest (the “Social Channels”) in an effort to generate sales.
Independent Influencer agrees to:
* Devote such of his/her time, resources and best efforts to the Services as is reasonably necessary to perform them in a professional and diligent manner
* Comply with all applicable laws and regulations.
* Determine, in his /her discretion, the time, place, manner, means, methods and independent/personal resources by which the Services are performed and achieved.
* Provide and utilize his/her own equipment, tools and other resources in performing the Services but Korriko Pet Supply will provide to the Affiliate certain informational materials to facilitate the creation of the Affiliate’s created content to his/her Web Page and/or Social Channels (such templates and other materials are collectively referred to as the “Korriko Pet Supply Materials”).
* Will be responsible for (i) creating and editing the Content (ii) publishing such content in the Affiliate's Page or posting such Content on the Social Channels. All such Content that is uploaded to the Affiliate Page will be posted to the Affiliate Page subject.
* If requested, provide to Korriko Pet Supply any social media materials to be reposted by Korriko Pet Supply as needed.
It is understood and agreed that the Affiliate will be an independent contractor, is not and will not be considered an agent or employee of Korriko Pet Supply (or any of its affiliates or related entities), and shall have no authority to bind Korriko Pet Supply (or its affiliates or related entities) by contract or otherwise.
AFFILIATE TRACKING
When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate username. Also, their IP address is tracked in the database along with your affiliate name. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate link may make a purchase later in time (up to 15 days) and the commission will still be awarded if the cookie is present in their browser and/or the are using the same IP address as the one logged in the database.
When a customer makes a purchase using your affiliate referral discount code, you will be rewarded the commission for the sale.
COMMISSIONS
Affiliate will receive 10% commission in U.S. dollars for the net revenue of every qualifying order of Korriko Pet Supply product(s) that are directly referred to by the Affiliate via their affiliate referral link or referral code. All Commissions are based on the net revenue of a sale. Affiliate will not earn commission on purchases made by Affiliate. For purposes of this Agreement, “Net Revenue” means gross fees received by Korriko Pet Supply from Qualifying Orders (as defined below), less amounts paid for using store credit or gift certificates, taxes, duties and transaction-based costs and expenses, including but not limited to payment process fees and shipping fees. For purposes of this Agreement, “Qualifying Orders” means purchases of Korriko Pet Supply product(s) via the Affiliate Page that are made by a method of payment accepted by Korriko Pet Supply The Commission is also only paid to Affiliate if the Qualifying Order is final -any returns will cause that specific Commission to be deducted out of the month payouts. The Commission will be calculated solely based on records maintained by Korriko Pet Supply using its standard methodologies.
Commission payments will be sent to Affiliate via PayPal on approximately the last day of each month. If a sale is canceled or refunded for any reason, any paid commission will be deducted from the amount owed to the Affiliate and any subsequent payment. Affiliates will not be paid a commission on sales or orders that are in delinquent status. If payments for delinquent customers are received within 90 days of the start date of the program, the Affiliate will be paid their commission. However, if delinquent payments are not received within 90 days after the start of the Program, then Affiliate will not be paid a commission on that sale. Affiliate commissions will not be paid based on any sales or amounts that are attributed to spam, credit card fraud, or returned Product. Affiliate commissions will only be paid once the balance payable reaches a minimum of $10.00 USD. If the commission total is below $10.00 USD, the commission payable will remain in the balance payable until the total exceeds $10.00 USD. Upon termination of a relationship, the amount payable will be sent regardless of the balance payable. Korriko Pet Supply reserves the right to change the dates of the commission payout.
INTELLECTUAL PROPERTY RIGHTS
Except for the Affiliate’s limited right to use the Korriko Pet Supply materials solely in connection with performing the Services, Korriko Pet Supply retains all right title and interest in the Korriko Pet Supply materials, including all related intellectual property rights. Korriko Pet Supply hereby grants to the Affiliate, a limited, non-exclusive, non-transferable license to use and display Korriko Pet Supply's name, website address, logo and trade names, solely in connection with performing the Services.
TERMINATION
Korriko Pet Supply reserves the right to withdraw you from the program anytime, without question if we find that you are not abiding by the terms and conditions, are participating in illegal activity, express hateful or discriminating views, or due to inactivity. Affiliate term: 120 months (or 4 months) from receiving the acceptance email.
RELATIONSHIP OF PARTIES
Nothing in this Agreement shall be deemed to create a partnership, joint venture, agency relationship, or employment relationship between the Parties. Affiliate is participating as a fully independent entity and is responsible for any and all federal, state, provincial, local, and/or foreign income taxes and self-employment taxes, and any and all other federal, state, provincial, and local licenses, fees or taxes, or sales tax, including withholding taxes, social security taxes, and public liability and workman’s compensation insurance. Under no circumstances will Korriko Pet Supply be held liable for any actions or results of the Affiliate.
